NON-DISCLOSURE AGREEMENT

This Agreement is made between:

The Inventor:                              of                                                                      and

1.2

The Agent: Inventions, a division of Omega Holdings Ltd, whose registered office is 28, Main Street, Mursley, Milton Keynes, BUCKS MK17 ORT

The Agent agrees:

2.1

To hold in confidence all information supplied by the Inventor.

2.2

To use such information only to determine the technical and economical feasibility

2.3

To return all information supplied by the inventor including documents, drawings, prototypes etc on demand.

2.4

To recognise the Inventor’s exclusive ownership of the intellectual property.

The Inventor agrees:

3.1

That he has the right to disclose the information relating to the property set out in the schedule below.

3.2

That he has an exclusive entitlement to the intellectual property and is authorised to grant licenses.

3.3

That all Documents, Drawings, Prototypes or any other item of value will be suitably insured and that no responsibility is implied or accepted by the Agent or its servants.

 

 

4.

This Agreement will terminate:

4.1

With the written consent of both parties.

4.2

If the information is found to be in the public domain.

4.3

If the information is published or otherwise becomes part of the public domain through no fault of the Agent.

4.4

If the information is already known to the Agent.
